Terms of Service

These Terms govern your access to and use of the Smart Lead Lab platform, AI receptionist, and associated services.

1. Agreement & Scope

By creating an account, executing an order form, or using Smart Lead Lab, you agree to these Terms, our Privacy Policy, and any product-specific policies referenced herein (collectively, the "Agreements"). If you use Smart Lead Lab on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that entity.

Smart Lead Lab may update these Terms by posting the revised version with a new "Last updated" date. We will notify you of material changes via email or in-app alerts at least 15 days prior to the effective date. Continued use of the services after the effective date constitutes acceptance.

2. Eligibility & Accounts

  • You must be at least 18 and legally able to enter contracts in your jurisdiction.
  • Account credentials must be kept confidential; you are responsible for activities under your account.
  • We may suspend or terminate accounts involved in fraud, abuse, excessive chargebacks, or violations of compliance obligations.
  • Client administrators are responsible for managing user permissions and revoking access when needed.

3. Services, Plans & Payment

Subscriptions renew automatically at the end of each billing cycle unless cancelled via the dashboard at least 24 hours before renewal. Fees are non-refundable except where required by law. Upgrades are prorated immediately; downgrades apply at the next billing period.

Usage-based charges (AI credits, SMS, minutes) are metered against your plan allotments. Overages are billed at the published rates in the product or applicable order form. We may adjust pricing with 30 days' advance notice.

You authorize Smart Lead Lab to charge the payment method on file for subscription fees, overages, and any applicable taxes. Failure to maintain valid payment information may result in service suspension.

4. Acceptable Use & Compliance

  • Comply with all applicable federal, state, and international laws (including TCPA, CAN-SPAM, CASL).
  • Do not transmit spam, malware, or content that violates privacy, intellectual property, or consumer laws.
  • Maintain lawful opt-in records for every lead imported into Smart Lead Lab.
  • Respect Do Not Call (DNC) registries and all A2P 10DLC registration requirements.
  • Use AI-generated content responsibly and review scripts before publishing outbound communications.

5. SMS, Voice & A2P Verification

Smart Lead Lab provisions phone numbers, messaging profiles, and A2P 10DLC registrations for approved use cases. You must supply accurate business information, sample content, call-to-action language, and opt-in mechanisms required by carriers. We may revoke messaging capabilities for incomplete or misleading submissions.

Required Opt-Out Controls: Every SMS template must include brand identification and clear opt-out instructions. Recipients can text STOP to cease campaign-specific messaging or HELP for support. STOP requests are honored automatically and confirmed with a final acknowledgment. You must promptly delete or update contact records to reflect opt-out status across all systems.

Voice Compliance: Auto-dialed or prerecorded calls require documented consent. When a contact revokes consent, you must remove them from calling queues and note the request in the CRM. Smart Lead Lab provides tools for DNC syncing, but you remain responsible for honoring federal and state DNC laws (including TSR, TCPA, state mini-TCPA statutes).

Carrier & Regulatory Suspension: We may temporarily pause your messaging or calling capabilities to investigate spam complaints, excessive opt-outs, fraud, or content that violates telecommunications codes. Restoring service may require remediation plans or proof of compliance.

6. Data Use, Security & Privacy

Smart Lead Lab processes Customer Data solely to deliver the services, troubleshoot issues, and improve the platform in line with our Privacy Policy. We implement administrative, technical, and physical safeguards including encryption at rest, encryption in transit, and role-based access controls. You are responsible for maintaining appropriate consents, configuring user permissions, and exporting data prior to termination. Security incidents are disclosed to affected customers without undue delay.

7. AI Outputs & Customer Responsibilities

  • AI-generated content may contain inaccuracies; review all outputs before publication or live use.
  • Customers are solely responsible for regulatory filings and representations made using Smart Lead Lab.
  • We do not guarantee specific conversions, revenue, or campaign outcomes.
  • Feedback or suggestions you provide may be used to improve the services without obligation or compensation.

8. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART LEAD LAB'S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID DURING THAT PERIOD. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR ANY LOSS OF PROFITS OR REVENUE.

9. Termination & Suspension

Either party may terminate the Agreement for convenience with 30 days' written notice. We may suspend or terminate the services immediately if (a) you breach these Terms, (b) we detect fraudulent or malicious activity, (c) we are required by law or a third-party provider, or (d) you fail to pay undisputed invoices. Upon termination you remain responsible for unpaid fees. We will make Customer Data available for export for 30 days unless legally prohibited.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of North Carolina without regard to conflicts of law. Any dispute will be resolved through binding arbitration in Forsyth County, North Carolina, under the rules of the American Arbitration Association. Either party may seek injunctive relief in any court of competent jurisdiction for actual or threatened misuse of intellectual property or confidential information.
